These Terms & Conditions ("Terms") govern (i) your access to and use of the website www.rugsandthreadshome.com and any related mobile sites, applications, social media pages, emails, and other services operated by Rugs and Threads Home (collectively, the "Website"); and (ii) your purchase and use of products offered by Rugs and Threads Home ("Company," "we," "our," or "us"). By accessing, browsing, using the Website, or placing an order, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy, Shipping & Delivery Policy, Return Policy, and Warranty Policy (collectively, the "Policies"). If you do not agree, you must immediately discontinue use of the Website and refrain from placing orders.

1) Definitions and Interpretation

·       "Customer," "you," "your" means any person or entity accessing the Website and/or placing an order for products.

·       "Products" means rugs, dhurries, textiles, accessories, and any other goods listed for sale on the Website.

·       "Business Day" means Monday to Saturday, excluding public holidays in Jaipur, Rajasthan, India.

·       "Force Majeure Event" has the meaning set forth in Clause 19.

·       Headings are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa. References to "including" or "includes" are deemed to be followed by "without limitation".

2) Eligibility and Account Responsibilities

·       You must be at least 18 years old or accessing under the supervision of a parent/legal guardian. By placing an order, you represent that you have legal capacity and authority to enter into a binding contract.

·       You may create an account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

·       We may, at our sole discretion, refuse service, terminate accounts, remove or edit content, or cancel orders where we suspect misuse, fraud, policy violation, or unlawful activity.

3) Product Information, Handmade Characteristics & Tolerances

·       We endeavor to present accurate descriptions, specifications, pricing, availability, and imagery. However, no warranty is made that information is complete, current, or error-free.

·       Our products are handmade. Minor variations in color, shade, yarn lot, weave, texture, motif placement, size, and finishing (including edge binding and tassels) are natural outcomes of craftsmanship and do not constitute defects. Dimensional tolerances of ±10% are typical for handwoven items.

·       Display settings and lighting may affect perceived color. We encourage customers to review care instructions and request clarifications before purchase where exact matching is critical.

4) Pricing, Taxes, Duties & Promotional Offers

·       Prices are listed in INR unless otherwise specified. We may display indicative prices in other currencies; final charges may vary due to bank conversion rates and fees.

·       Prices, offers, and availability are subject to change without notice. We are not liable for typographical/system errors and may cancel orders affected by such errors.

·       Taxes (including GST) are applied as per applicable law. For international deliveries, import duties, taxes, clearance fees, and brokerage charges (if any) are the customer’s responsibility, unless the product page or invoice explicitly states otherwise.

·       Coupons, promotions, and gift cards are subject to additional terms. We may suspend or revoke promotions at any time without notice in case of misuse or error.

5) Orders, Acceptance, Rejection & Contract Formation

·       Your order is an offer to purchase Products. We may accept or reject your offer at our sole discretion. Order confirmation/acknowledgment emails only confirm receipt; contract formation occurs upon dispatch of Products.

·       We reserve the right to limit quantities, refuse or cancel any order, verify information, and require additional identification for high-value or atypical orders.

·       Pre-orders/Made-to-Order: Production begins only after payment confirmation (unless otherwise agreed in writing). Estimated dates are indicative and may change.

·       Customer Cancellations: You may request cancellation within 24 hours of order placement if the order has not entered processing/production. Custom or made-to-order items are non-cancellable once confirmed.

6) Payment Terms & Chargebacks

·       We accept payment methods listed at checkout (e.g., major cards, UPI/wallets, net banking, and approved bank transfers). EMI and third-party financing are subject to provider terms; any disputes must be resolved with the provider.

·       All payments must clear before dispatch, except where a written credit arrangement exists. Title remains with the Company until payment is received in full.

·       Chargebacks: Initiating a chargeback without first contacting our support to attempt resolution may constitute a breach of these Terms. We reserve the right to contest chargebacks and to restrict or terminate future purchases.

7) Shipping, Delivery, Risk & Title

·       Dispatch and delivery timelines published in the Shipping & Delivery Policy are estimates only. Delays can arise from carrier schedules, customs processing, weather, or other factors beyond our control.

·       Risk of loss and title transfer to you upon handover to the carrier (domestic/international) or at delivery, as stated in applicable law and the Shipping & Delivery Policy.

·       You must provide an accurate, complete address and reachable contact details. Re-delivery, address correction, storage, or return-to-origin (RTO) costs due to incorrect/incomplete addresses or non-availability shall be borne by you.

·       Delivery attempts are limited (typically up to 3 attempts). Undelivered parcels may be returned; reshipment may incur additional charges.

8) International Orders & Compliance

·       International transit times vary by destination and customs. You are responsible for duties/taxes and ensuring that Products are lawful to import into your jurisdiction.

·       We are not responsible for customs inspections, seizures, storage, or local regulatory issues. If an order is returned due to customs non-compliance or unpaid charges, refunds (if any) will be processed less shipping/handling and applicable fees, subject to the Return Policy and condition of goods.

9) Inspection Upon Delivery; Claims for Damage/Shortage

·       Please inspect packages upon delivery. Any visible damage, tampering, or shortage must be noted with the carrier and reported to us within 48 hours with supporting photos/videos/unboxing footage and the outer/inner packaging.

·       Failure to notify within the stipulated timeline may impair investigation and may limit or void remedies. Retain all packaging materials until the claim is resolved.

10) Returns, Refunds & Non‑Returnable Items

·       Returns are handled strictly as per our Return Policy. Returns are permitted only for eligible, non-custom, non-discounted items in unused, unsoiled, unwashed condition with all tags/labels/packaging intact.

·       Exchanges are not offered. If you need a different item, please place a new order after any applicable refund is processed.

·       Return shipments must include the Return Merchandise Authorization (RMA) and be properly packed to avoid transit damage. Items returned without authorization may be refused.

·       Non-returnable: custom/made-to-order items, discounted/sale items, used/damaged/soiled items, items without original packaging, and items damaged due to improper handling, storage, or cleaning.

·       Refunds (if approved) are issued to the original payment method (or store credit where applicable) after quality inspection, within timelines stated in the Return Policy. Shipping, duties, and handling fees are generally non-refundable.

11) Warranty; Exclusions; Procedure

·       Limited warranty against manufacturing defects applies as described in our Warranty Policy. This warranty is in addition to rights available under applicable consumer laws to the extent they cannot be excluded.

·       Exclusions include normal wear and tear, shedding/sprouting, minor color variations, fading due to sunlight, moisture damage, damage from heavy furniture or sharp objects, pet or pest damage, stains, burns, odors, chemical/cleaning damage, and improper use/care.

·       To claim warranty, you may be required to submit photos/videos, order proof, and follow inspection steps. Remedies are limited to repair, replacement, or refund (partial or full) at our sole discretion.

·       No other warranties (express or implied) are provided, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.

12) Care, Maintenance & Safety Guidance

·       Follow our Care & Maintenance Guide for vacuuming, spot cleaning, professional cleaning, and sun exposure limits. Rug pads are recommended to reduce slippage and wear.

·       Improper cleaning, exposure to direct sunlight/moisture, or heavy furniture without protective pads may cause damage not covered under warranty.

13) Intellectual Property and License to Use

·       The Website and its contents (images, product designs, graphics, text, logos, and trademarks) are owned by or licensed to the Company and are protected by intellectual property laws.

·       You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, non-commercial purposes. Any reproduction, distribution, modification, scraping, data mining, reverse engineering, or derivative use is strictly prohibited without our prior written consent.

14) User Content; Reviews and Feedback

·       If you submit reviews, photos, comments, or other materials ("User Content"), you grant the Company a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, distribute, display, and create derivative works from such content in any media for marketing and operational purposes.

·       You represent that you own or control all rights to your User Content and that it is truthful, non-defamatory, non-infringing, and lawful. We may (but are not obligated to) monitor, edit, or remove User Content at our sole discretion.

15) Third‑Party Services, Links & Integrations

·       The Website may contain links to third-party websites or integrate with third-party payment/shipping providers. Such links/integrations are provided solely for convenience. We do not endorse or control third-party sites or services and are not responsible for their availability, security, content, or practices.

·       Your dealings with third parties are solely between you and the third party. You should review the applicable terms and privacy policies of such third parties.

16) Privacy and Data Protection

·       Personal information is collected and processed in accordance with our Privacy Policy. By using the Website or placing orders, you consent to such processing.

·       We implement reasonable administrative, technical, and physical safeguards. However, no system is 100% secure. To the maximum extent permitted by law, we disclaim liability for unauthorized access, data breaches, or interception occurring despite reasonable safeguards.

17) Disclaimers; Limitation of Liability

·       The Website, its content, and Products are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

·       To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to (a) use of or inability to use the Website; (b) purchase or use of Products; (c) delays or delivery issues; (d) errors or omissions in content; or (e) events beyond our reasonable control.

·       Aggregate Cap: In all events, our total liability for any claim shall not exceed the total amount paid by you for the Product(s) giving rise to the claim.

18) Indemnity

·       You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, employees, agents, and partners from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your breach of these Terms or the Policies; (ii) your violation of law or third-party rights; or (iii) your misuse of the Website or Products.

19) Force Majeure

·       We shall not be liable for any failure or delay in performance (including manufacturing, dispatch, delivery, communications, refunds, or support) to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics/pandemics, public health emergencies, war, terrorism, civil unrest, strikes, lockouts, labor disputes, embargoes, government orders or regulations, sanctions, power/internet outages, failures of logistics or telecommunications, fire, flood, earthquake, or other similar events.

·       Our obligations shall be suspended for the duration of the Force Majeure Event and resume as soon as practicable. If a Force Majeure Event continues for more than 30 days, either party may cancel affected orders by written notice without liability (other than refund of any amounts paid for undelivered Products, if applicable and subject to the Return Policy).

20) Governing Law, Jurisdiction & Dispute Resolution

·       These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

·       Informal Resolution: You agree to first contact our customer support to attempt in good faith to resolve any dispute within 30 days.

·       Arbitration: If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Jaipur, Rajasthan, India. Proceedings shall be conducted by a sole arbitrator appointed in accordance with the said Act. The language shall be English. The arbitral award shall be final and binding.

·       Notwithstanding the foregoing, either party may seek interim or injunctive relief from competent courts in Jaipur to protect its rights pending arbitration.

21) Severability; No Waiver; Assignment

·       If any provision of these Terms is found invalid, illegal, or unenforceable by a court/arbitrator of competent jurisdiction, such provision shall be severed or limited to the minimum extent necessary; the remainder shall continue in full force.

·       No failure or delay by the Company in exercising any right shall operate as a waiver thereof. A waiver is effective only if in writing and signed by the Company.

·       You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

22) Notices and Communications

·       We may provide notices via email, SMS, Website postings, or in‑account notifications. Notices shall be deemed given upon transmission or posting.

·       You consent to receive electronic communications from us and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

23) Entire Agreement; Survival

·       These Terms, together with the Policies referenced herein, constitute the entire agreement between you and the Company regarding the subject matter and supersede any prior understandings or agreements.

·       Clauses that by their nature should survive termination (including but not limited to limitations of liability, indemnity, IP rights, dispute resolution, and governing law) shall survive any termination or expiration of these Terms.
